Loot Crate (the “Company”) is a subscription-based, direct-to-consumer business offering curated boxes of merchandise tied to popular entertainment franchises, including film, television, video games, and comic properties. The Company experienced rapid subscriber growth, which ultimately strained its operational infrastructure and outpaced its ability to source and fulfill products efficiently. 

As fulfillment challenges mounted and liquidity tightened, the Company pursued strategic alternatives and ultimately filed for Chapter 11 protection in Delaware. The restructuring process was aimed at stabilizing operations and identifying a buyer with the scale and supply-chain capabilities necessary to support the business. 

Following a targeted marketing process, the Company was sold to an affiliate of NECA, a leading collectibles manufacturer and an existing supplier to Loot Crate. The transaction provided improved operational alignment and positioned the business for continued distribution under a strategic industry owner.
