The Farfield Company (“Farfield” or the “Company”) is a 50-year-old MEP contractor operating in a rail-focused transit niche. In-house capabilities include 3D CAD, sheet metal fabrication, electrical control systems, and welding and related services. The Farfield Company is a division of Rommel Construction, LLC (“Rommel”).
Due to issues with Rommel’s surety, brought on by a change in accounting systems, ownership decided to sell its two MEP construction and service operations and a transit-based electrical services contractor specializing in highway lighting and traffic signal modification. SC&H was brought in to advise on maximizing value and capitalize on Rommel’s long-standing commercial and government relationships, experienced workforce, and arsenal of equipment and inventory associated with each business entity.
SC&H conducted an extensive marketing process, offering the entire company, individual divisions, or any combination of them. SC&H was successful in selling two of the three operations previously; The Farfield Company sale was the final transaction. In spite of difficult circumstances, SC&H worked with the current management team and their advisor in structuring a transaction that maximized recovery and allowed the operation to continue as a going concern.
