SC&H Capital, a leading investment bank specializing in M&A advisory for middle-market companies, is pleased to announce that its client, Pajeau, Inc., d/b/a Tynker (“Tynker” or the “Company”), has completed a sale of its assets, under Chapter 11 Section 363 of the United States Bankruptcy Code in the District of Delaware, to CodeHS.
Tynker is a market-leading and innovative EdTech company specializing in coding education for children, offering a gamified platform that integrates AI-powered lesson adaptation to optimize learning outcomes. Its comprehensive suite of tools and curriculum supports schools and parents in fostering the next generation of programmers and STEM professionals.
SC&H Capital was retained by the Chapter 11 Trustee to Tynker to conduct an extensive marketing process for the Company’s assets in order to maximize recovery for the Company’s creditors. SC&H ran a comprehensive marketing process, approaching domestic and international strategic buyers, private equity-backed EdTech companies, and special situations focused private equity funds. SC&H’s outreach efforts resulted in multiple interested parties conducting due diligence and discussions with management. Ultimately, SC&H conducted a competitive auction for the assets with multiple qualified bidders. After extensive rounds of bidding, CodeHS purchased the assets under Chapter 11 Section 363 of the U.S. Bankruptcy Code in the District of Delaware and rehired the majority of the employees.
