Jim Jenkins recalls advising a client about to make an acquisition that the target company’s EBITA needed further scrutiny. A close review of the target company’s quality of earnings revealed that its value should be over one-third less to the acquirer. This changed the terms of the deal, with Jim’s client having to put up far less cash than assumed, with more of the buy-out structured into future performance.
