After evaluating each of the potential options, Leah and the management team of HMS determined that a sale to an ESOP allowed for the best outcome for all parties including the shareholder, the company, the management team, and the employees. After determining that the ESOP represented the best possible solution, the Company retained SC&H to advise on the structuring and execution of the transaction and to assist in raising debt financing.
